Effective Date: September 30, 2026 | Read Carefully Before Using Frogly
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Frogly ("Company," "we," "our," or "us") governing your access to and use of the Frogly software application, websites (including frogly.app), mobile applications (iOS and Android), and associated productivity services (collectively, the "Service").
By creating an account, clicking "Sign In," "Sign Up," downloading our native applications, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Service.
2. Methodology & Trademark Safe Harbor Notice
Frogly is an independent software application designed to help individuals and teams organize daily tasks. The system is conceptually inspired by classical time-management literature and methods, including the personal productivity principles popularized in Brian Tracy's book Eat That Frog!.
Frogly is an independent product and is not affiliated with, authorized by, sponsored by, or endorsed by Brian Tracy, Brian Tracy International, Berrett-Koehler Publishers, or their affiliates. All trademarks, book titles, and service marks referenced are the property of their respective owners and are referenced strictly under nominative fair use for descriptive, educational, and methodological attribution purposes.
3. Artificial Intelligence and Voice Coaching Policy
Frogly includes generative artificial intelligence tools, automated task breakdown modules, and an interactive voice coaching assistant. By using these features, you acknowledge and agree:
- Informational and Habit Aid Only: All outputs, recommendations, schedules, and reflections generated by our AI features are provided strictly for general personal organization and time-management habit building.
- No Medical, Psychological, Legal, or Financial Advice: Frogly does not provide medical treatment, psychological therapy, psychiatric evaluation, mental health counseling, legal counsel, or fiduciary financial planning. Do not rely on AI outputs for medical emergencies, clinical conditions, or critical business decisions.
- User Assumption of Risk: Generative machine learning models may occasionally produce inaccurate, incomplete, or unexpected information. You retain sole responsibility for evaluating and verifying any task scheduling or prioritization suggestions before taking action.
- Prohibited Content and Abuse: You agree not to submit prompts, audio, or tasks that contain unlawful material, hate speech, harassment, sexually explicit content, self-harm encouragement, or malicious code.
- Content Moderation and Reporting: If an AI response produces objectionable, harmful, or offensive content, you can flag the output or report it immediately to safety@frogly.app. We reserve the right to suspend accounts that abuse our conversational features.
4. Subscriptions, Billing, and Cancellation Rules
Frogly offers free tiers alongside optional paid subscription plans (including Professional and Executive tiers).
- Web Subscriptions: Subscriptions purchased through our web application are billed via Stripe. Subscriptions renew automatically at the beginning of each billing period (monthly or annually) unless cancelled prior to the renewal date. You can cancel at any time through your Account Settings.
- Apple App Store & Google Play Store: If you purchase an in-app subscription through our iOS or Android applications, billing is administered directly by Apple or Google under their respective payment terms. You must manage or cancel your subscription through your Apple ID or Google Play account settings.
- Cancellation Effect: Upon cancellation, your paid plan remains active through the end of your paid billing cycle, after which your account reverts to the free tier.
- Refund Policy: For direct web purchases, refund requests submitted within 14 days of the initial charge will be considered by contacting support@frogly.app. Purchases made via Apple App Store or Google Play must be refunded directly through the respective platform in accordance with their refund rules.
5. Intellectual Property and User Content
Your Data Ownership: You retain full ownership and intellectual property rights in the tasks, project notes, goal descriptions, and personal records you enter into Frogly ("User Content"). You grant us only the limited license necessary to host, store, back up, and process your content to provide the Service to you.
Company Intellectual Property: The Frogly software code, user interface designs, logos, visual layouts, sound effects, algorithms, and documentation are the exclusive property of Frogly and are protected by copyright, trademark, and trade secret laws. You may not copy, decompile, reverse engineer, or attempt to extract source code from the Service.
6. DMCA and Copyright Infringement Notice
We respect the intellectual property of others. If you believe that any material available on or through Frogly infringes upon a copyright you own or control, please submit a written notification to our designated copyright agent:
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT TASK DEFICIENCIES OR DATA LOSS WILL NOT OCCUR.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FROGLY, ITS DIRECTORS, EMPLOYEES, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, WORK STOPPAGE, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (I) YOUR ACCESS TO OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO FROGLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY UNITED STATES DOLLARS ($50.00 USD), WHICHEVER IS GREATER.
9. Indemnification
You agree to defend, indemnify, and hold harmless Frogly, its officers, directors, employees, contractors, and agents from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property or privacy rights.
10. Mandatory Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
- Informal Resolution: Before initiating arbitration, you and Frogly agree to attempt to resolve any dispute informally for at least thirty (30) days by writing to legal@frogly.app.
- Binding Arbitration: If the dispute is not resolved informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
- Waiver of Class Actions and Jury Trial: YOU AND FROGLY AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR CANNOT CONSOLIDATE CLAIMS OF MULTIPLE PERSONS. BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.
- 30-Day Opt-Out Window: You have the right to opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by emailing written notice to legal@frogly.app with subject line "Arbitration Opt-Out" including your full legal name and registered account email.
